Overview

These Terms of Service ("Terms") govern your use of Vereli (the "Service"), operated by Vereli ("Vereli", "we", "us", "our"), an Australian sole trader. Vereli is a Shopify app that recovers abandoned checkouts for Shopify merchants using two-way SMS.

By installing or using Vereli, you agree to these Terms and to our [Privacy Policy]. If you do not agree, do not install or use the Service.

Section 1 — Eligibility and your account

You must be an authorised representative of a Shopify store to install Vereli, and that store must be based in Australia — Vereli serves Australian stores at this time, and can only send messages to Australian recipients. You are responsible for all activity under your account, including settings configured by anyone with access to your Shopify admin.

Section 2 — The Service

Vereli detects abandoned Shopify checkouts and, where the customer has given marketing consent and a usable contact detail — an email address, or an Australian mobile number where you have connected SMS — sends an AI-generated recovery message. A conversation runs on one channel; a customer reachable on both is not messaged twice about the same checkout. Vereli classifies and responds to replies, may offer a single discount code within a ceiling you configure, and hands a conversation to your own staff when appropriate. Vereli does not guarantee any specific recovery rate, response rate, or revenue outcome — actual results depend on your products, pricing, customer base, and factors outside our control.

Section 3 — Your SMS provider, and your email sending domain

Vereli does not provide SMS transmission itself. You connect your own SMS provider account (Twilio, at MVP) through a guided setup, and messages are sent and received through that account. You are responsible for the costs your provider charges for that usage, and for keeping your provider account in good standing — Vereli cannot send messages if it isn't.

Email works the same way in principle and differently in practice. Vereli sends email through its own provider rather than one you connect, but it sends as you: from a domain you nominate and verify by adding DNS records, so your customers see your store as the sender and you remain the sender of record. You cannot nominate a domain you do not control — an address at a free email provider (Gmail, Outlook and similar) can be set as a reply-to address, but cannot be used to send. Email is included on every plan and is how Vereli sends by default. SMS is the optional addition: it requires you to connect your own provider account, and it is not available until that connection is verified.

Section 4 — Fees, billing, and cancellation

Vereli is billed as a monthly subscription in Australian dollars through the Shopify Billing API, at the plan and price shown to you at checkout in the Shopify Admin. Charges are collected by Shopify as part of your normal Shopify billing.

Every plan begins with a 30-day free trial. You are not charged during the trial. Before it ends we tell you in writing what you will be charged and when, and the subscription then converts to the paid plan you selected unless you cancel first.

Section 5 — Your responsibilities, and the Spam Act 2003

You are the "sender" of every message Vereli sends on your behalf under the Spam Act 2003 — SMS and email alike — not Vereli. Vereli is the platform you use to send it; the consent relationship with your customer is yours. This is deliberate and structural, not merely a term: SMS goes from a number registered to your business, and email goes from a domain you verify and control. Vereli does not send customer marketing from its own domain or number. This means:

Section 6 — AI-generated content

Messages sent through Vereli are generated or classified by AI models, subject to automated guardrails: every message is checked before sending and cannot contain a discount code that wasn't actually issued, a link other than your own checkout recovery link, or claims about stock, shipping, or refunds that Vereli has no authority to make. If a generated message fails those checks twice, Vereli falls back to a fixed template, and if that isn't possible, hands the conversation to your staff rather than sending nothing or something unvetted.

Despite these safeguards, AI-generated text can occasionally be imperfect. You should periodically review recovery conversations, and can turn off sending entirely from your settings at any time.

Section 7 — Intellectual property

Vereli, its underlying software, and its branding are owned by Vereli or its licensors. These Terms grant you a limited, non-exclusive right to use the Service for your own store's checkout recovery — nothing here transfers ownership of Vereli's software, prompts, or systems to you. Your own store content, product data, and customer relationships remain yours.

Section 8 — Third-party services

Vereli relies on Shopify, your chosen SMS provider, and our AI provider (Anthropic/Claude) to function. We are not responsible for outages, errors, or changes made by these third parties, though we'll make reasonable efforts to maintain compatibility and notify you of material changes that affect the Service.

Section 9 — Disclaimers and limitation of liability

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT, EXCEPT WHERE SUCH A DISCLAIMER IS NOT PERMITTED BY LAW (INCLUDING CONSUMER GUARANTEES UNDER THE AUSTRALIAN CONSUMER LAW, WHICH CANNOT BE EXCLUDED).

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VERELI'S TOTAL LIABILITY ARISING FROM YOUR USE OF THE SERVICE IS LIMITED TO THE FEES YOU PAID US IN THE SIX (6) MONTHS BEFORE THE CLAIM AROSE, AND WE ARE NOT LIABLE FOR INDIRECT, CONSEQUENTIAL, OR LOST-REVENUE DAMAGES.

Section 10 — Indemnification

You agree to indemnify Vereli against claims arising from your breach of these Terms, your violation of the Spam Act 2003 or another law, or content or settings you configured in the Service — except to the extent the claim arises from Vereli's own guardrails failing to work as designed.

Section 11 — Termination

You may stop using Vereli at any time by uninstalling it. We may suspend or terminate the Service for a store that breaches these Terms, sends SMS without lawful consent, or fails to pay applicable fees, and will make reasonable efforts to notify you first except where immediate suspension is needed to prevent harm (e.g., a compliance violation in progress).

Section 12 — Data and privacy

Our collection and use of personal information is described in our Privacy Policy, which forms part of these Terms.

Section 13 — Governing law

These Terms are governed by the laws of the Australian Capital Territory, Australia, and you submit to the exclusive jurisdiction of the courts of that jurisdiction.

Section 14 — Changes to these Terms

We may update these Terms from time to time; continued use of the Service after an update takes effect constitutes acceptance of the revised Terms. We'll update the "Last updated" date above.
